1. Agreement to these terms

These Terms form a binding agreement between you and TruSource. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation, and "you" refers to that organisation.

2. The Services

The Services include this website and the origin-data verification and related tools we make available. We may add, change, suspend, or discontinue any part of the Services at any time.

3. Acceptable use

You agree not to:

• Use the Services in any way that breaks the law or infringes the rights of others.
• Upload or submit data you do not have the right to share, or that contains malicious code.
• Attempt to gain unauthorised access to, disrupt, probe, or reverse-engineer the Services or their underlying systems.
• Misuse, resell, or scrape the Services or their content without our permission.

4. Your data and submissions

You retain ownership of the files and data you submit to the Services. You grant us a limited, non-exclusive licence to host, process, and analyse that data solely to provide and improve the Services and to produce the outputs you request. You are responsible for the accuracy of the data you submit and confirm that you have the right to provide it. We handle personal data in accordance with our Privacy Policy.

5. Intellectual property

The Services, including all software, text, graphics, and branding (excluding your data), are owned by TruSource or our licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-transferable right to use the Services for their intended purpose. No other rights are granted.

6. No legal or professional advice

The information on this website, including any material about the EU Deforestation Regulation (EUDR) or other regulations, is provided for general information only and does not constitute legal, regulatory, or professional advice. Verification results and outputs generated by the Services are provided to assist you; they do not guarantee compliance with, or acceptance by, any authority. You remain solely responsible for meeting your own legal and regulatory obligations, and you should obtain independent professional advice before relying on any information or output.

7. Third-party services

The Services may rely on or link to third-party services and content. We are not responsible for third-party services, and your use of them may be subject to their own terms.

8. Disclaimer of warranties

The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability, to the fullest extent permitted by law. We do not warrant that the Services will be error-free, secure, or that any result will meet your requirements.

9. Limitation of liability

To the fullest extent permitted by law, TruSource and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Services. Our total aggregate liability for all claims relating to the Services will not exceed the amount you paid us, if any, for the Services in the twelve months before the event giving rise to the claim, or one hundred United States dollars (USD 100) if you have paid nothing.

10. Indemnification

You agree to indemnify and hold harmless TruSource from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your data, or your breach of these Terms or of any law or third-party right.

11. Suspension and termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have breached these Terms or to protect the Services or other users. Provisions that by their nature should survive termination will do so.

12. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "last updated" date above. Your continued use of the Services after a change means you accept the revised Terms.

13. Governing law and disputes

These Terms are governed by the laws of the Republic of Kenya, without regard to its conflict-of-laws rules. You agree that the courts of the Republic of Kenya have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, subject to any mandatory rights you may have under the law of your country of residence.

14. General

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right is not a waiver of it. These Terms are the entire agreement between you and us regarding the Services and supersede any prior agreements on that subject.
